Developer & Infrastructure Agreement

Terms of Service

Effective Date: September 13, 2026 • Commercial Trade Name: Rohan Protocol

1. Parties & Contractual Scope

These Terms of Service ("Agreement") govern the commercial relationship between you or the entity you legally represent ("Customer", "Developer", "Operator", or "you") and Julian von Bordelius, operating commercially as a sole proprietorship (Einzelunternehmen) under the business trade name Rohan Protocol, established in Germany ("Operator", "we", "us").

The Operator provides an automated, programmatic application programming interface (API), client software development kits ("SDKs"), and cryptographic relay gateway infrastructure ("Relayer Services"). The Relayer Services facilitate the validation and broadcasting of client-generated Zero-Knowledge Proofs ("ZKPs") to public decentralized ledgers, specifically the Midnight Network.

2. Regulatory Classification: Pure IT Infrastructure Utility

Non-Custodial / Exemption from Financial and CASP Licensing

The Operator is exclusively a provider of technical data-routing and computing infrastructure. The Operator is not a bank, financial services institution, payment service provider, or Crypto-Asset Service Provider ("CASP") under Regulation (EU) 2023/1114 on Markets in Crypto-Assets ("MiCA"), nor a Money Services Business ("MSB") or Money Transmitter under U.S. FinCEN regulations.

  • Zero Custody of Assets: The Relayer Services are completely non-custodial. The Operator never holds, receives, stores, settles, or exercises control over your private cryptographic keys, digital assets, or convertible virtual currencies.
  • API Bandwidth Consideration: All fees paid via our payment processing partners (e.g., Stripe, Inc.) represent solely and exclusively the purchase of technical API compute capacity, server bandwidth, and automated cryptographic transaction relay quotas.
  • Internal Cost of Goods Sold (Gas Consumption): Any underlying L1 network gas or ledger-native computation units (e.g., $DUST, $NIGHT, or testnet equivalents) consumed during transaction broadcasting are drawn strictly from the Operator’s proprietary network balances as internal server operational overhead. The Operator does not broker, transmit, sell, or exchange crypto-assets to or on behalf of the Customer.

3. Autonomous AI Agents, MCP Tooling & Operator Liability

STRICT OPERATOR ATTRIBUTION: If you utilize, configure, deploy, or integrate autonomous software agents, Large Language Models ("LLMs"), Model Context Protocol ("MCP") gateways, automated bots, or algorithmic scripts (collectively, "Autonomous Agents") to interact with the Relayer Services:

  • Conclusive Legal Attribution: Any and all API requests, cryptographic commitments, smart contract interactions, and network executions initiated or routed through your API keys or credentials are irrevocably and conclusively legally attributed to you.
  • Zero Platform Supervisory Duty: The Operator exercises no editorial, algorithmic, legal, or administrative oversight over the prompts, execution logic, or autonomous decision parameters of your Autonomous Agents.
  • Exclusion of Liability for Rogue Agents: The Operator shall have no liability for financial losses, algorithmic hallucinations, unintended contract executions, recursive loop gas exhaustion, or economic exploits caused by your Autonomous Agents. You maintain the exclusive and non-delegable duty to implement local rate limits, human-in-the-loop safeguards, and kill-switches.

4. "Blind Relayer" Architecture & Zero Content Neutrality

The Relayer Services are structurally engineered around client-side Zero-Knowledge proof synthesis. The Relayer operates strictly as a cryptographically blind conduit:

  • No Cleartext Access: The Operator cannot inspect, decrypt, parse, verify, or access the underlying cleartext inputs, secret negotiation parameters, non-disclosure data, or personal records sealed inside the cryptographic proofs (π) submitted by your client.
  • No Duty to Monitor: Because cleartext content is mathematically inaccessible to the Operator, the Operator owes no duty to audit or police the transactional semantics or enforceability of agreements reached between counterparty agents.

5. Service Tiers, Quotas & Stripe Billing

Access to the Relayer Services is provisioned on a subscription tier basis:

  • Stripe Processing: Subscriptions are processed recurringly via Stripe, Inc. By subscribing, you authorize automatic recurring charges corresponding to your chosen tier.
  • Rate Limits & Throttling: API usage is constrained by predefined tier quotas. Bursts or abusive patterns exceeding reasonable operational boundaries (>200 requests/sec or repeated malformed ZK submissions) will trigger automated HTTP 429 status codes or immediate temporary credential revocation.
  • No Computational Refunds: Because computing server resources and cryptographic relay quotas are provisioned immediately upon payment, fees are non-refundable. Cancellations become effective at the end of the active prepaid billing period.

6. Representations, Sanctions Compliance & Prohibited Conduct

You expressly represent and warrant that:

  • You are not a person or entity subject to international sanctions administered by the European Union, the United Nations, or the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
  • You will not use the Relayer Services to obfuscate unlawful financial activities, conduct denial-of-service exploits against decentralized networks, or deploy malicious smart contracts.

7. Comprehensive Indemnification

You agree to defend, indemnify, and hold harmless the Operator, its agents, subcontractors, and licensors from and against any and all claims, liabilities, damages, losses, administrative fines, penalties, and legal costs (including reasonable legal defense fees) arising out of or related to: (i) your or your Autonomous Agents’ use of the Relayer Services; (ii) any breach of these Terms; or (iii) any third-party claims or regulatory enforcement resulting from smart contract states, ZK proofs, or transactions broadcast via your account.

8. Limitation of Liability & Statutory Disclaimers

(a) General Limitation: To the maximum extent permitted by applicable law, the Operator's total aggregate liability for all claims arising out of or related to this Agreement or the Relayer Services shall be strictly limited to the total fees actually paid by you to the Operator during the twelve (12) months immediately preceding the event giving rise to liability.

(b) Mandatory Statutory Scope (German Law): Nothing in these Terms shall limit or exclude the Operator’s liability for: (i) intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit); (ii) culpable injury to life, body, or health; (iii) claims under the German Product Liability Act (Produkthaftungsgesetz); or (iv) breaches of a guarantee explicitly assumed in writing.

(c) Essential Contractual Obligations (Kardinalpflichten): In cases of slight negligence (einfache Fahrlässigkeit), the Operator shall only be liable for the breach of essential contractual obligations—obligations whose fulfillment is essential to the proper execution of the contract and upon whose adherence the Customer regularly relies. In such events, liability is strictly confined to typical, contractually foreseeable damages.

(d) Protocol & Blockchain Risk: The Operator does not warrant uninterrupted uptime of decentralized third-party networks and disclaims liability for Midnight Network hard forks, validator downtime, consensus splits, or ledger reorganizations.

9. Governing Law, Place of Performance & Jurisdiction

This Agreement and all disputes arising hereunder shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and international conflict of laws rules.

To the extent permitted by law, the courts of Lüneburg, Germany shall have exclusive territorial jurisdiction over all commercial disputes arising from or in connection with these Terms, provided the Customer is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law.
